Finer Dials LLC ("Finer Dials," "we," "us," "our")

These Terms of Service ("Terms") govern your access to and use of our websites, services, software, and related tools (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

If you do not agree, do not use the Services.

1. Services Overview

Finer Dials LLC is an Illinois-based pre-owned luxury watch trading business. We provide curated buying and selling services for pre-owned timepieces, conducted remotely via secure domestic wire transfer.

We also use third-party platforms to support business operations and marketing, including GoHighLevel for CRM and communications, and domestic banking institutions for payment processing. Your use of certain features or integrations may be subject to third-party terms in addition to these Terms.

2. Eligibility and Account Responsibility

You represent that you are at least 18 years old and have authority to enter into these Terms on behalf of your business (if applicable).

You are responsible for: Maintaining the confidentiality of login credentials, All activity under your account, Providing accurate information, Ensuring your users comply with these Terms.

3. Client Responsibilities (Important)

To provide effective Services, you agree to: Provide timely access to necessary information, accounts, and approvals, Ensure you have the legal right to use and provide any data, content, phone numbers, and contact lists you upload, Use the Services in compliance with all applicable laws and regulations (including privacy, marketing, and communications laws).

No lead/marketing outcome is guaranteed. Results depend on your market, offer, responsiveness, lead volume, ad spend (if any), competition, and other factors outside our control.

4. Communications, Messaging, and Consent (SMS/MMS/Email/Voice)

If you use messaging, calling, email marketing, AI voice, or similar features, you are solely responsible for complying with applicable laws and policies, including but not limited to: TCPA and related regulations, CAN-SPAM, State privacy laws, Carrier requirements (including A2P 10DLC where applicable), Consent, opt-in/opt-out handling, and proper disclosures.

You represent and warrant that you have obtained (and will maintain) all necessary consents and permissions to contact your leads/customers.

We may suspend or restrict messaging features if we believe your use creates compliance risk, excessive complaints, high bounce rates, spam reports, or violations of third-party provider policies.

5. Payments, Billing, and Fees

All transactions are conducted via domestic wire transfer. Payment is required in full prior to shipment of any timepiece. Finer Dials LLC does not ship prior to confirmed receipt of funds.

Where applicable, a non-refundable deposit may be required to initiate a sourcing engagement or reserve a timepiece. Any such deposit will be communicated in writing prior to being collected and will be applied toward the total purchase amount where a transaction is completed.

Finer Dials LLC may charge a commission fee for sourcing services. Commission terms will be disclosed in writing prior to the engagement.

Finer Dials LLC is required to collect applicable sales tax on transactions shipped to Illinois addresses. Buyers outside of Illinois are responsible for any use tax obligations under the laws of their respective state or jurisdiction.

6. Refunds and Cancellations

Subscriptions: You may cancel your subscription at any time. Cancellation stops future billing after the current billing period unless otherwise stated in your agreement. We do not provide prorated refunds for unused time unless required by law or explicitly stated in writing.

Setup/Implementation: Setup, onboarding, and implementation fees are generally non-refundable once work begins due to labor and configuration time.

If you believe you were billed in error, contact us within 14 days of the charge at [insert support email].

7. Service Changes and Availability

We may modify, update, or discontinue parts of the Services from time to time. We will make reasonable efforts to avoid material disruption, but you understand that some components depend on third-party services and infrastructure.

We do not guarantee uninterrupted availability. Maintenance, updates, outages, carrier filtering, vendor limitations, or force majeure events may impact service.

8. Acceptable Use Policy

You agree not to use the Services to: Send unlawful, deceptive, or spam communications, Violate privacy or marketing laws, Transmit malware or harmful code, Infringe intellectual property rights, Harass, threaten, or exploit others, Collect data unlawfully, Attempt unauthorized access to systems.

We may suspend or terminate accounts that violate this section.

9. Content, Data, and Intellectual Property

Your Content: You retain ownership of content and data you upload ("Client Content"). You grant us a limited license to use Client Content solely to provide and improve the Services.

Our Materials: Finer Dials LLC retains all rights to our processes, templates, snapshots, automations, documentation, training materials, and proprietary methods, except where explicitly transferred in writing.

Feedback: If you provide suggestions, you grant us the right to use them without restriction or compensation.

10. Confidentiality

Each party may receive confidential information from the other. Both parties agree to protect confidential information using reasonable care and to use it only for purposes related to providing or receiving the Services.

Confidentiality does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.

11. Privacy

Our collection and use of personal information is described in our Privacy Policy. If you use the Services to collect or process personal information, you are responsible for providing appropriate notices and obtaining consents as required by law.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINER DIALS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee: Specific business results (leads, bookings, revenue, rankings), Deliverability to every inbox or carrier (email/SMS filtering is outside our control), That third-party platforms will operate without interruption or change.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINER DIALS LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO FINER DIALS LLC IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

(Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.)

14. Indemnification

You agree to indemnify and hold harmless Finer Dials LLC from claims, damages, liabilities, and expenses arising out of: Your use of the Services, Your Client Content, Your communications and marketing practices (including SMS/email consent), Your violation of laws or third-party terms.

15. Termination

We may suspend or terminate your access to Services if you: Fail to pay fees, Violate these Terms, Create legal/compliance risk, Abuse the Services or providers.

Upon termination, your access may end immediately. You are responsible for exporting any data you want to keep prior to termination where feasible.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of Illinois without regard to conflict of law principles.

Any dispute will be resolved in Illinois courts unless the parties agree to arbitration in writing.

17. Changes to These Terms

We may update these Terms periodically. Updated Terms will be posted with a new effective date. Your continued use of the Services after updates constitutes acceptance.
